Please read these Terms of Service ("Terms") carefully before using the services offered by Applied Growth Solutions LLC ("AGS," "we," "us," or "our"). By accessing or using our services, you agree to be bound by these Terms.

1. Services

Applied Growth Solutions LLC provides CRM automation, client retention, and marketing automation services for medspas, wellness centers, and service-based businesses. Our services include but are not limited to automated appointment reminders, follow-up campaigns, re-engagement workflows, and SMS/email marketing automation.

2. Eligibility

By using our services, you represent that you are at least 18 years of age and have the legal authority to enter into these Terms on behalf of yourself or your business.

3. Client Responsibilities

As a client of AGS, you agree to:

• Provide accurate and complete information about your business and customers
• Ensure all contacts in your database have provided appropriate consent to receive communications
• Comply with all applicable laws including TCPA, CAN-SPAM, and HIPAA where applicable
• Not use our services for illegal, fraudulent, or harmful purposes
• Maintain the confidentiality of your account credentials

4. SMS Messaging Terms

When using our SMS automation services:

• You are responsible for obtaining proper consent from your customers before sending SMS messages
• All SMS campaigns must comply with TCPA regulations and carrier guidelines
• You must honor opt-out requests (STOP) immediately
• Message and data rates may apply to recipients
• AGS is not liable for carrier filtering or message delivery failures

5. Payment Terms

Services are billed on a monthly subscription basis. Payment is due at the beginning of each billing cycle. Failure to pay may result in suspension or termination of services. All fees are non-refundable unless otherwise stated in your service agreement.

6. Intellectual Property

All content, workflows, templates, and materials created by AGS remain the intellectual property of Applied Growth Solutions LLC unless explicitly transferred in writing. You retain ownership of your business data and customer information.

7. Confidentiality

Both parties agree to keep confidential any proprietary information shared during the course of the business relationship. AGS will not share your customer data with third parties except as necessary to provide the contracted services.

8. Limitation of Liability

AGS shall not be liable for any indirect, incidental, special, or consequential damages arising from the use of our services, including but not limited to lost revenue, lost data, or business interruption. Our total liability shall not exceed the fees paid in the three months prior to the claim.

9. Disclaimer of Warranties

Our services are provided "as is" without warranties of any kind, either express or implied. We do not guarantee specific results from our automation services, including specific revenue increases or client retention rates.

10. Termination

Either party may terminate the service agreement with 30 days written notice. AGS reserves the right to terminate services immediately for violation of these Terms. Upon termination, you retain access to your data for 30 days.

11. Governing Law

These Terms shall be governed by the laws of the State of Georgia. Any disputes shall be resolved in the courts of Gwinnett County, Georgia.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of significant changes via email or through our website. Continued use of our services constitutes acceptance of the updated Terms.
